Seniorguide.ca Access Terms and Conditions

1.1 This website, data and other intellectual property (hereinafter jointly referred to as “the Senioropolis Inc. Intellectual Property”) are owned by Senioropolis Inc., and the member agrees that the following provisions apply:

(a) the Senioropolis Inc. Intellectual Property are licensed to the Member, not sold;
(b) Senioropolis Inc. hereby grants to the Member and the Member accepts a non-exclusive, worldwide license to use the Senioropolis Inc. Intellectual Property as reasonably necessary;
(c) title, ownership rights, and all intellectual property rights in all Senioropolis Inc. Intellectual Property (including without limitation the related source code, object code and documentation) shall remain solely and exclusively in the Senioropolis Inc. and/or its suppliers;
(d) the Member acknowledges the Senioropolis Inc. as the owner of all Intellectual Property, and all intellectual property rights relating thereto, and agrees not to take any action to jeopardize, limit or interfere in any manner with the Senioropolis Inc. or its suppliers’ ownership of or rights in the Senioropolis Inc. Intellectual Property; and
(e) the Member acquires no rights whatsoever to any Senioropolis Inc. Intellectual Property except as specifically granted herein.

1.2 Limitations on Grant of License. The license granted does not permit the member to, and such party agrees that it will not:

(a) use the licensed intellectual property for any use or purpose other than, in the case of the Member, its internal business purposes, and, in the case of the Senioropolis Inc., the performance of the Services hereunder;
(b) provide, lease, lend, use for timesharing, application service provider or service bureau purposes, or otherwise use or allow others to use such licensed intellectual property for their own benefit or for the benefit of third parties;
(c) copy, reproduce or duplicate such licensed intellectual property, by any means or in any manner, except as specifically provided herein or for reasonable backup purposes consistent with the grant of license described above; or
(d) use such licensed intellectual property in any manner not contemplated by or consistent with the grant of license described above.

1.3 Indemnity by the Member. The Member agrees to defend, indemnify and hold Senioropolis Inc., its directors, officers, employees, agents, contractors and affiliates, harmless from any loss, damage or liability, including reasonable legal costs, that the Senioropolis Inc. may incur as a result of or in connection with any of the following:

(a) the Member’s use of the data in any manner not contemplated by the Specifications;
(b) the Member’s engagement in any activity that is illegal, offensive or immoral or that infringes on the rights of privacy or publicity, or any intellectual or proprietary rights of any third party;
(c) any valid claim that the Member’s use of any Member Materials or Content infringes the intellectual property rights of any third party;
(d) any claim or suit made by any client or member of the Member; or
(e) any breach by the Member of the Member’s obligations under this Agreement.
